All DWASA Members and Prospective members are required to accept these Conditions of Membership & familiarise them selves with the terms of the Memorandum of Association. The most recent versions of both are laid out below, and physical copies or a history of changes may be obtained from the office on info@dwasa.co.za should they be required. DWASA will in their best effort attempt to notify members at least 30 days in advance should there be any changes to these conditions.
Conditions for Membership to The Damp-Proofing & Waterproofing Association of South Africa:
Membership of the Association is open to individuals, contractors and manufacturers & suppliers of damp-proofing and waterproofing products subject to the Terms and Conditions detailed below. All potential members agree to be bound by these condition as well as the terms stated in the Articles of Association.
Should there be any changes to these terms & Conditions, members will be 30 Days to comply with them from any published effective date.
No individual/company will be admitted to full membership of the Association unless he/she can show that they have a minimum of 3 years practical experience in the damp-proofing , waterproofing or associated industries. Affiliate membership will be offered for those individuals/companies who have been in business for more than a year and who can produce references from at least 3 satisfied clients. Subject to satisfactory performance, this will be converted to full membership after 2 years.
A copy of a letter of good standing from the members bank must be supplied with every application, or as requested from time to time for renewal of membership, to ensure that adequate reserves are held for the rectification of any inferior workmanship.
The Association is established as a non-profit organisation representing the interests of:
- Property owners
- Property management agencies
- Bodies Corporate
- Damp-proofing and waterproofing contractors
- Manufacturers & Suppliers of damp proofing & waterproofing products
- Consultants, specifiers and architects
AIMS OF THE ASSOCIATION
The Association’s aims and objectives are to establish high levels of competence within the industry through quality products and skilled applicators so as to give members of the public confidence in the treatment of their water and damp problems and to offer a vehicle for the resolution of any related complaints.
Property Owners, Property Management Agencies and Bodies Corporate
- To provide quality service to the end-user by supplying details of approved contractors meeting the standards and code of conduct of the Association
- Evaluating quotations received by end-users to enable a reasonable comparison of the services and costs provided
- Providing advice on all matters relating to the damp-proofing and waterproofing of structures and substrates
- To act as a first line mediator in disputes between end-users and contractors
Contractors:
- To promote and assist businesses engaged directly or indirectly in the damp-proofing and waterproofing industry or in related industries and to further the commercial and other interests of those businesses
- To provide the formation and exchange of views on any question connected with the conduct of any trade or business with which any of the member of the Association is associated
- To represent, express and give effect to the opinions of the members of the Association
- To represent the views and interests of members of the Association with all sectors of Government
- To provide training and on-going exposure to new products and methods of treatment of waterproofing and damp-proofing in its widest format
- To act as a first line mediator in disputes between contractors and manufacturers and suppliers
Manufacturers & Suppliers
- To protect the common interests of manufacturers and suppliers in terms of the integrity of their products in the hands of members of the Association and to ensure that all applications are applied in accordance with given specifications
- To thoroughly investigate any complaints regarding the efficacy of products used by members and to assist in the identification of speedy resolution to problems
- To act as a conduit for the dissemination of information on new products and services o To facilitate training at the premises of manufacturers and suppliers’ premises for members of the Association
Consultants, Specifiers & Architects:
- To assist in the preparation of specifications wherever necessary or To act as a conduit for the completion of tenders, etc
- To provide details of members for submission of quotations, etc
Memorandum of Association of the The Damp-Proofing & Waterproofing Association of South Africa:
- The name of the company is The Damp-Proofing & Waterproofing Association of Southern Africa with Registration Number 2015/411016/08 (“The Association”)
- The Registered office of the Association is to be situated in South Africa.
- The objects for which the Association is established are:
- to promote and assist business engaged directly or indirectly in the Damp Proofing and Waterproofing industries or restoration or in related industries and to further the commercial and other interests of those businesses;
- to provide for the formation and exchange of views on any question connected with the conduct of any trade or business with which any of the members of the Association is associated;
- to represent, express and give effect to the opinions of the members of the Association;
- to promote or oppose bills in Parliament or other measures affecting members of the Association and to lobby Ministries or any other regulatory body;
- to collect and circulate statistics and information;
- to undertake and arrange for the settlement of disputes by arbitration or any other method;
- to enter into agreements for the advancement of trade and business and the protection of persons engaged in commerce and industry;
- to subscribe to and promote the aims and objects of any society or association having objects similar to all or any of the objects of the Association and to encourage and to support any society, association or movement for the improvement of commercial law;
- to undertake research into the special problems of the damp proofing and waterproofing of buildings and of preserving or restoring buildings in general.
- In furtherance of the principal objects but not otherwise the Association shall have the power:
- to purchase, take on lease or in exchange, hire or otherwise acquire any real and personal estate which may appear convenient;
- to accept any gift of property, whether subject to any special trust or not, for any purpose within the principal objects;
- to take such steps by personal or written appeals, public meetings or otherwise as may seem expedient for the purpose of procuring contributions to the funds of the Association;
- to print and publish any newspapers, periodicals, books or leaflets;
- to sell, lease, mortgage or otherwise deal with all or any part of the property of the Association;
- to borrow and raise money and secure its repayment in any manner;
- to invest the funds of the Association in or upon such investments, securities or property as may be thought fit;
- to undertake and execute any trusts or any agency business which may seem conducive to any of the principal objects;
- to establish and support, and to aid in the establishment and support of any other association formed to promote all or any of the principal objects;
- to amalgamate with any companies, institutions, societies or associations having objects wholly or in part similar to those of the Association;
- to purchase or otherwise acquire and undertake all or any part of the property, assets and liabilities of any body with which the Association is authorised to amalgamate;
- to transfer all or any part of the property, assets and liabilities of the Association to any body with which the Association is authorised to amalgamate;
- to do all such other lawful things as are incidental or conducive to the pursuit or to the attainment of any of the principal objects.
- The income of the Association, from wherever derived, shall be applied solely in promoting the above objects, and no dividend shall be paid and no distribution shall be made to its members in cash or otherwise.
- The liability of the members will be limited.
- Every member of the Association undertakes to contribute such amount as may be required not exceeding R50 to its assets if it should be wound up while he is a member, or within one year after he ceases to be a member, for payment of the debts and liabilities of the Association contracted before he ceases to be a member, and of the costs, charges and expenses of winding up, and for the adjustment of the rights of the contributories among themselves.
- If on the winding up of the Association there remains any surplus after the satisfaction of all its debts and liabilities, the surplus shall not be distributed among the members of the Association, but shall be given or transferred to some other body (whether or not it is a member of the Association) having objects similar to those of the Association, or to another body the objects of which are the promotion of charity and anything incidental or conducive thereto.
